by and between Andrea Freygang, owner SJCGraphics dba SpiritualSites thereafter called ‘SpiritualSites’ with a principal place of business in San Juan Capistrano, CA and

thereafter called ‘the contractor’ with a principal place of business in

TIME FRAMES

The contractor agrees to meet all deadlines established by SpiritualSites, or provide a reasonable notification (48 hours when possible) of any inability to meet an agreed upon deadline.

EQUIPMENT

The contractor agrees provide their own office, equipment, software, and vehicle as needed.

PAYMENT

Spiritual Sites agrees to pay the contractor a rate of

unless otherwise negotiated. Per project negotiations must be verified in written form via email before the acceptance of each project.

The contractor agrees to track their time using the TeamWork online project management system on a weekly basis, at minimum if appropriate. Not every project will require this. Some projects are flat rate as agreed upon. Time will be billed in five (5) minute increments with a fifteen (15) minute minimum, unless otherwise negotiated.

Payment will be processed via check or PayPal by the fifteenth (15th) of each month, for the prior month or per project agreement.

ERRORS AND OMISSIONS

SpiritualSites agrees to review and approve all creative and written copy, including text and graphics, for errors and omissions prior to printing, advertising, or further distribution.

TAXES

The contractor shall pay all income taxes and FICA incurred while performing services under this Agreement. SpiritualSites is not required to provide the contractor with a 1099 so long as payments are made via PayPal. Should the payment delivery method change, Spiritualsites agrees to provide the contractor with a 1099 on or before February 15th for all services totaling at least six hundred dollars ($600.00) in the prior tax year.

CONFIDENTIALITY

Both SpiritualSites and The contractor agree to keep all nonpublic information completely confidential unless given prior written consent. This includes, but is not limited to; names, addresses, passwords, financial information, payment terms, contract terms, etc.

OWNERSHIP

Any and all work performed under this agreement is considered to be the property of SpritualSites and/or SpiritualSites clients, and may not be resold or distributed without prior written consent.

NON-COMPETE

The contractor agrees to maintain a strictly professional relationship with any clients as a member of the SpiritualSites team. Unless written consent is obtained, the contractor will not enter into any separate contracts with clients that initially began as SpiritualSites contracting opportunities or leads.

TERMINATION

Either party may terminate this Agreement at any time by written notice. The contractor shall be entitled to full payment for services performed prior to the effective date of termination. SpiritualSites retains all ownership, confidentiality, and non-compete rights as outlined above.

VIOLATION

Violation of any part of this contract will result in the guilty party being financially responsible for any and all known and potential losses suffered.

ENFORCEMENT

If any portion of this agreement is found to be unenforceable, then the remainder of the agreement remains in effect.

AGREEMENT

This agreement will become effective when signed or acknowledged in writing or electronically by both parties.
